These Terms of Service ("Terms") govern your access to and use of the website, AI assistant Ava, products and services offered by ArtCl (Artistic Cloud Solutions) ("ArtCl", "we", "us" or "our"). By accessing or using our website or services, you agree to be bound by these Terms. If you do not agree, please do not use our website or services.

1.Acceptance of terms

By accessing our website, submitting an enquiry, chatting with Ava, or using any ArtCl product or service, you confirm that you have read, understood and agreed to these Terms and our Privacy Policy. If you are using our services on behalf of an organisation, you represent that you have authority to bind that organisation to these Terms.

2.Eligibility

Our website and services are intended for businesses and individuals who are at least 18 years old and able to form a legally binding contract under applicable law. By using our services you represent that you meet these requirements.

3.Our services

ArtCl provides AI-powered business solutions, which may include Agentic ERP, computer-vision billing (SayBill), marketing AI (SMAAI), omnichannel engagement bots, AI calling and related services. The features, scope, pricing and availability of any specific service are described in the relevant proposal, order form or written agreement between you and ArtCl. In the event of a conflict, that signed agreement prevails over these Terms for the services it covers.

Certain features (such as the CRM) require an account. You are responsible for keeping your login credentials confidential and for all activity that occurs under your account. Notify us promptly at reachout@artcl.cloud if you suspect any unauthorised use.

6.AI assistant & outputs

Our AI assistant "Ava" and other AI features generate responses automatically and may occasionally be inaccurate, incomplete or out of date. AI outputs are provided for informational and convenience purposes only and do not constitute professional, legal, financial or other advice. You are responsible for independently verifying any information before relying on it. Do not share passwords, payment details or sensitive personal data with the AI assistant.

7.Intellectual property

All content on this website — including text, graphics, logos, the ArtCl name and mark, software and design — is owned by or licensed to ArtCl and is protected by intellectual-property laws. You may view and use the website for your own informational and business purposes, but you may not reproduce, distribute, modify or create derivative works without our prior written permission. Any feedback or suggestions you provide may be used by us without obligation to you.

Our website and services may link to or integrate with third-party platforms (for example WhatsApp, messaging providers, payment gateways and AI model providers). We are not responsible for the content, policies or practices of those third parties. Your use of third-party services is governed by their own terms.

To the maximum extent permitted by law, ArtCl and its directors, employees and partners will not be liable for any indirect, incidental, special, consequential or punitive damages, or any loss of profits, revenue, data or goodwill, arising out of or related to your use of (or inability to use) the website or services. To the extent liability cannot be excluded, our total aggregate liability for any claim relating to the services shall not exceed the amount you paid to us for the relevant service in the three (3) months preceding the event giving rise to the claim.

You agree to indemnify and hold harmless ArtCl from any claims, damages, liabilities and expenses (including reasonable legal fees) arising out of your breach of these Terms, your misuse of the services, or your violation of any law or the rights of a third party.

We may suspend or terminate your access to the website or services at any time, with or without notice, if you breach these Terms or if we are required to do so by law. Provisions that by their nature should survive termination (including intellectual property, disclaimers, limitation of liability and governing law) will continue to apply.

13.Governing law & jurisdiction

These Terms are governed by and construed in accordance with the laws of India, without regard to conflict-of-law principles. Subject to any applicable agreement to arbitrate, the courts at Palakkad, Kerala, India, shall have exclusive jurisdiction over any disputes arising out of or relating to these Terms.
